Terms of Service

Effective Date: August 14, 2026

These Terms of Service ("Terms") govern your access to and use of the websites, applications, products, and services provided by PreClear Cybersecurity, Inc. ("PreClear," "we," "us," or "our"), including PreClear Home and PreClear Family (collectively, the "Services").

By creating an account, purchasing a subscription, accessing, or using the Services, you agree to these Terms. If you do not agree to these Terms, do not use the Services.

1. About PreClear

PreClear provides cybersecurity decision-support tools designed to help users evaluate unfamiliar digital files, understand available security and trust signals, and make more informed decisions before opening, installing, extracting, sharing, or otherwise interacting with those files.

PreClear may analyze characteristics of a submitted file and available security intelligence to provide recommendations, explanations, educational information, and related trust signals.

PreClear does not guarantee that any file is safe, malicious, trustworthy, or free from security risks.

2. Eligibility

You must be legally capable of entering into a binding agreement to use the Services.

PreClear is not intended for children under 13. If you are not legally permitted to use the Services in your jurisdiction, you may not use them.

If you use PreClear on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.

3. Your Account

Some PreClear features require an account.

When creating and maintaining an account, you agree to provide accurate information and keep your account information reasonably current.

You are responsible for:

  • Maintaining the confidentiality of your password
  • Protecting access to your account
  • Activities conducted through your account
  • Promptly notifying PreClear if you believe your account has been accessed without authorization

You may not share account credentials in a manner intended to circumvent subscription limits, account restrictions, or other controls imposed by the Services.

4. File Analysis

PreClear allows users to submit supported files for analysis.

When you submit a file, you represent that you have the right or authorization necessary to possess and submit that file for analysis.

You should not submit files containing highly sensitive personal, medical, financial, confidential, legally protected, or other information that should not be processed through the Services.

PreClear may examine characteristics and content of a submitted file as necessary to perform the requested analysis.

PreClear may also generate cryptographic fingerprints, such as SHA-256 hashes, and compare those fingerprints with third-party security intelligence services, including VirusTotal.

PreClear's current VirusTotal integration performs a file-fingerprint lookup and does not upload the submitted file itself to VirusTotal as part of that lookup.

5. Security Analysis and Recommendations

PreClear provides decision-support information. It is not a guarantee of security.

Cybersecurity analysis has inherent limitations. Malicious files may evade detection, security intelligence may be incomplete or outdated, previously unknown threats may not have established reputations, and legitimate files may sometimes exhibit characteristics associated with suspicious files.

Accordingly:

  • A recommendation to proceed does not guarantee that a file is safe.
  • A cautionary recommendation does not necessarily mean a file is malicious.
  • A recommendation not to open a file does not establish that the file is malicious.
  • The absence of known threats or negative reputation information does not establish that a file is safe.

You remain responsible for deciding whether to open, install, execute, extract, share, delete, or otherwise interact with a file.

PreClear should be used as one source of information in making that decision and is not a substitute for appropriate security software, professional cybersecurity advice, organizational security policies, backups, system updates, or other reasonable security practices.

6. Trust Journal

Eligible PreClear accounts may include a private Trust Journal containing information associated with previous analyses and decisions.

Trust Journal entries may include information such as file names, recommendations, confidence information, explanations, security signals, educational information, and related analysis information.

The Trust Journal is intended as a decision-support and educational feature. It should not be treated as a complete security log, forensic record, backup system, or permanent archival service.

You are responsible for determining whether information in your Trust Journal is appropriate for your needs.

7. PreClear Plans

PreClear may offer Free, Home, Family, or other plans.

Plans may differ in features, usage allowances, account capabilities, household membership, support levels, or other benefits.

Current plan descriptions and pricing are displayed through the Services.

We may modify plans, features, usage allowances, or pricing from time to time. Changes affecting existing paid subscriptions will be handled as described in these Terms and as required by applicable law.

8. PreClear Family

PreClear Family allows multiple individual accounts to participate in a shared household subscription.

A Family subscription may include:

  • A designated Family owner
  • A limited number of household members
  • Shared subscription benefits
  • A shared analysis allowance
  • Individual user accounts
  • Private Trust Journals for individual members

The Family owner may invite and remove members and manage certain household subscription functions.

Family membership does not give the Family owner or another Family member access to another member's private Trust Journal solely because those users belong to the same Family household.

Family invitations must be used by the intended recipient and may expire or be revoked.

If a Family subscription becomes inactive, Family benefits may become unavailable to household members.

If a Family member leaves or is removed from a household, that person's account and private Trust Journal are not automatically deleted solely because Family membership ended.

9. Free Services and Usage Limits

PreClear may provide certain Services without charge.

Free plans may be subject to usage limits, feature restrictions, or other limitations.

PreClear may change the features or limits associated with free Services, subject to applicable law.

Attempts to circumvent usage restrictions, account limits, Family seat limits, or other technical controls may result in suspension or termination of access.

10. Paid Subscriptions

Paid subscriptions may be offered on monthly, annual, or other billing intervals displayed at the time of purchase.

When you purchase a subscription, you authorize the applicable payment processor to charge the payment method you provide for the subscription and applicable taxes or charges disclosed during checkout.

Unless otherwise stated during purchase, paid subscriptions automatically renew at the end of each billing period until canceled.

11. Payments and Stripe

PreClear currently uses Stripe to process subscription payments.

Payment information submitted during checkout is processed by Stripe according to Stripe's terms and privacy practices.

PreClear does not directly store your complete payment card number or card security code.

You agree to provide accurate billing information and authorize Stripe to process charges associated with your subscription.

Payment processing may also be subject to Stripe's terms and policies.

12. Cancellation

You may cancel an eligible paid subscription using the subscription-management functionality provided through PreClear or the associated Stripe customer portal.

Unless otherwise stated at the time of cancellation, cancellation stops future automatic renewals but does not immediately terminate access already paid for.

Your paid subscription benefits generally remain available through the end of the current paid billing period.

After that period ends, your account may return to the applicable Free plan or otherwise lose paid features.

For a PreClear Family subscription, expiration of the Family owner's paid subscription may also end Family benefits for other members of the household.

13. Refunds

Except where required by applicable law or expressly stated otherwise by PreClear, subscription charges are non-refundable once charged.

Canceling a subscription generally prevents future renewal charges but does not result in a prorated refund for unused time remaining in the current billing period.

If you believe you were charged in error, contact support@preclearsecurity.com so we can review the matter.

Nothing in this section limits refund, cancellation, or withdrawal rights that cannot legally be waived in your jurisdiction.

14. Price Changes

PreClear may change subscription prices from time to time.

If a price change affects an existing recurring subscription, we will provide notice where required by applicable law and will apply the change in accordance with applicable billing and notice requirements.

Continued use of a paid subscription after an applicable price change takes effect constitutes acceptance of the new price to the extent permitted by law.

15. Acceptable Use

You agree not to use the Services to:

  • Violate applicable law or regulation
  • Infringe the rights of another person or organization
  • Access accounts, systems, or information without authorization
  • Distribute malware or other harmful software
  • Conduct attacks against systems, networks, users, or organizations
  • Harass, threaten, exploit, or harm others
  • Interfere with or disrupt the operation or security of PreClear
  • Probe, scan, or test PreClear infrastructure without authorization
  • Circumvent account, subscription, usage, rate, or security restrictions
  • Reverse engineer or attempt to extract protected source code except where such restriction is prohibited by law
  • Use automated systems to access the Services in a manner that places unreasonable load on our infrastructure
  • Misrepresent your identity or impersonate another person
  • Use PreClear to facilitate unlawful or malicious activity

Legitimate analysis of files for personal safety, defensive security, education, or other lawful purposes is permitted.

16. Service Availability

We work to provide reliable Services, but we do not guarantee uninterrupted or error-free availability.

The Services may occasionally be unavailable because of maintenance, updates, technical problems, security incidents, third-party service interruptions, infrastructure failures, or circumstances beyond our reasonable control.

Certain PreClear functionality depends on third-party services. If those services are unavailable, some features may be limited or temporarily unavailable.

17. Changes to the Services

PreClear is an evolving service.

We may add, remove, modify, replace, or discontinue features from time to time.

We may also make changes when necessary to improve security, comply with law, address abuse, maintain third-party integrations, improve performance, or develop the Services.

Where required by law, we will provide appropriate notice of material changes affecting paid Services.

18. Third-Party Services

PreClear uses or interacts with third-party services in providing certain functionality.

These currently include services such as:

  • Stripe for subscription and payment processing
  • Resend for transactional email
  • VirusTotal for file-fingerprint reputation and security intelligence lookups

Third-party services are governed by their own terms and policies.

PreClear is not responsible for third-party products, services, systems, information, or availability that we do not control.

19. Intellectual Property

The Services, including PreClear's software, design, branding, interfaces, text, graphics, educational materials, analysis methodology, and other original content, are owned by or licensed to PreClear Cybersecurity, Inc. and are protected by applicable intellectual-property laws.

These Terms give you a limited, non-exclusive, non-transferable, revocable right to use the Services for their intended purposes while these Terms remain in effect.

Except as permitted by law or expressly authorized by PreClear, you may not copy, reproduce, distribute, sell, license, modify, or create derivative works from protected portions of the Services.

PreClear, associated logos, and related branding may be trademarks or service marks of PreClear Cybersecurity, Inc.

20. Your Files and Information

PreClear does not claim ownership of files you submit for analysis.

You retain whatever ownership rights you have in your files and other content.

You grant PreClear the limited rights necessary to temporarily process submitted files and related information for the purpose of operating, securing, and providing the Services as described in these Terms and our Privacy Policy.

21. Feedback

If you voluntarily provide suggestions, ideas, comments, or other feedback regarding PreClear, you permit us to use that feedback to develop, improve, and operate our products and Services without an obligation to compensate you.

This does not give PreClear ownership of your submitted files, Trust Journal content, or other personal information.

22. Suspension and Termination

We may suspend or terminate access to some or all of the Services when reasonably necessary, including when:

  • You materially violate these Terms
  • Your use creates a security or legal risk
  • You use the Services for fraudulent, abusive, or malicious activity
  • Payment for a paid subscription fails or is reversed
  • We are required to do so by law
  • Continuing to provide access would materially threaten PreClear, our users, or third parties

Where reasonable and legally appropriate, we may provide notice or an opportunity to address the issue.

You may stop using PreClear at any time.

Termination or cancellation does not eliminate obligations or rights that, by their nature, should survive termination.

23. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

PreClear makes no warranty that the Services will be uninterrupted, error-free, completely secure, or suitable for every purpose.

To the maximum extent permitted by law, PreClear disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.

PreClear does not warrant or guarantee that a file identified as lower risk, acceptable to proceed with, or lacking known malicious indicators is actually safe.

Some jurisdictions do not allow certain warranty exclusions, so some of these exclusions may not apply to you.

24. Limitation of Liability

To the maximum extent permitted by applicable law, PreClear Cybersecurity, Inc. and its directors, officers, employees, affiliates, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, business opportunities, or use, arising from or related to the Services.

This includes, to the extent permitted by law, losses resulting from:

  • Reliance on a PreClear analysis or recommendation
  • Opening, executing, installing, extracting, sharing, or deleting a file
  • Malware, ransomware, viruses, or other malicious content
  • Unauthorized access to systems or accounts
  • Loss or corruption of data
  • Service interruptions
  • Third-party services or security intelligence
  • Incomplete, inaccurate, delayed, or unavailable security information

To the maximum extent permitted by applicable law, PreClear Cybersecurity, Inc.'s aggregate liability arising out of or relating to the Services or these Terms will not exceed the greater of (a) the amount you paid to PreClear during the 12 months immediately preceding the event giving rise to the claim or (b) US $100.

Some jurisdictions do not permit certain limitations of liability, so some limitations may not apply to you.

25. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless PreClear Cybersecurity, Inc. and its officers, directors, employees, and agents from claims, liabilities, damages, losses, and reasonable expenses arising from your unlawful use of the Services, your material violation of these Terms, or your infringement of another person's rights.

This provision does not apply to the extent prohibited by applicable law.

26. Privacy

Our collection and use of personal information are described in our Privacy Policy.

27. Governing Law

These Terms and disputes arising from or relating to them or the Services will be governed by the laws of the State of Colorado, United States, without regard to conflict-of-law principles, except where applicable law requires otherwise.

28. Disputes and Venue

Before filing a formal legal claim, you and PreClear agree to make a reasonable good-faith effort to resolve the dispute informally.

Please describe the nature of the dispute and the resolution you are requesting.

If a dispute cannot be resolved informally, and unless applicable law requires otherwise, disputes arising from these Terms or the Services will be subject to the jurisdiction of the state and federal courts located in Colorado.

Nothing in these Terms prevents either party from seeking appropriate injunctive or equitable relief when necessary to protect intellectual-property rights, confidential information, security, or against unauthorized access or misuse.

29. Changes to These Terms

We may update these Terms as PreClear evolves or when necessary to reflect changes in our Services, business practices, legal obligations, or security requirements.

When we update these Terms, we will revise the effective date.

If a change materially affects your rights or obligations, we will provide additional notice when required by applicable law.

Your continued use of the Services after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.

30. General Terms

If any provision of these Terms is determined to be unenforceable, the remaining provisions will remain in effect to the extent permitted by law.

Our failure to enforce a provision of these Terms does not waive our right to enforce it later.

You may not transfer your rights or obligations under these Terms without our consent, except where applicable law provides otherwise.

PreClear may assign these Terms in connection with a merger, acquisition, corporate reorganization, financing, sale of assets, or similar transaction.

These Terms, together with the Privacy Policy and any additional terms presented for a particular PreClear service or transaction, constitute the agreement between you and PreClear regarding the Services.
